Beginning January 1, 2024, ALL non-exempt companies are required to file "Beneficial Ownership Information" ("BOI") reports with the U.S. Department of the Treasury, Financial Crimes Enforcement Network ("FinCEN").
FinCen BOI reports must be filed prior to January 1, 2025 for companies that were formed prior to January 1, 2024.
If you start a NEW non-exempt company on or after January 1, 2024, you must file the BOI report within 90 days.
If you start a NEW non-exempt company beginning January 1, 2025, you must file the BOI report within 30 days.
If you make certain changes to the beneficial ownership of your company after filing an initial BOI report, you must file notice of that change within 30 days.
